4. Accounts, Seats and Authorised Users

4.1The Customer must provide accurate, complete and current account information and must promptly update that information if it changes.

4.4The Customer must keep credentials secure and must promptly notify Tailored Intelligence at info@tailoredai.co.za if it suspects unauthorised access to an account, compromised credentials or a security incident affecting the Service.

10.1As between the parties, the Customer retains all rights, title and interest in and to Customer Content, including copyright and other intellectual-property rights in books, documents and other works uploaded by the Customer.
10.2The Customer warrants that it has all rights, authority, permissions, consents and lawful grounds necessary to upload, submit, process, use and permit Tailored Intelligence to process Customer Content under these Terms.
10.3The Customer is solely responsible for Customer Content, including its lawfulness, accuracy, integrity, completeness, quality, format, confidentiality, intellectual-property status and suitability for processing through the Service.
10.4The Customer grants Tailored Intelligence a limited, non-exclusive, non-transferable, non-sublicensable licence for the duration of the Subscription and any permitted retention period to host, copy, reproduce, transmit, extract, OCR-process, index, store, display and otherwise process Customer Content only as reasonably necessary to:

10.5Customer Content is used solely to provide the Service to the applicable Customer or firm. Tailored Intelligence will not knowingly use Customer Content for another firm’s Service or permit Customer Content to cross between firms.
10.6Tailored Intelligence will not use Customer Content to train, test or improve SilkAI, its models or an improvement pipeline.
10.7Tailored Intelligence may in future request a separate, express written, firm-specific opt-in licence for a clearly described improvement use. Such consent is optional, is off by default, may be refused without affecting access to the Service, and is not granted by these Terms.
10.8The Customer must not upload books, documents or other works unless it holds all rights and permissions necessary for the intended use. Where a work belongs to an author, publisher, employer, client or another rights-holder, the Customer is responsible for ensuring that its use of the work through the Service is authorised.
10.9Tailored Intelligence may remove, restrict access to, preserve or disclose Customer Content where reasonably necessary to investigate suspected breach, protect the Service or another person, comply with law, respond to a lawful request or prevent harm.

The Customer indemnifies and holds harmless Tailored Intelligence, its directors, officers, employees, contractors, licensors and service providers against any claim, demand, action, loss, damage, liability, cost or expense (including reasonable legal costs) arising from or relating to:

10.9.2any allegation that Customer Content infringes or misappropriates copyright, moral rights, trade marks, confidential information, privacy rights, data-protection rights or any other right of an author, publisher, employer, client, data subject or other third party; or
10.9.3the Customer’s breach of clause 10.8 or any warranty, undertaking or applicable law relating to Customer Content.

This indemnity applies only to the extent that the relevant claim, loss, damage, liability, cost or expense arises from the Customer’s act or omission, Customer Content or use of the Service, and does not apply to the extent caused by Tailored Intelligence’s unauthorised use of Customer Content outside the scope of this Agreement.

The Customer must, at its own cost, provide such reasonable assistance as Tailored Intelligence may require to investigate, respond to or defend a claim contemplated in this clause. Tailored Intelligence may suspend access to, remove or restrict access to the relevant Customer Content while investigating an actual or reasonably suspected breach of clause 10.8 or this clause 10.9.

11. Tailored Intelligence intellectual property and confidentiality

11.1Tailored Intelligence and its licensors retain all rights, title and interest in and to the Service, SilkAI name and branding, software, source code, models, algorithms, prompts, workflows, interface designs, documentation, methods, know-how, trade secrets, technical information, usage architecture, pricing architecture, product roadmap and all related intellectual property.
11.2Except for the limited right of use in clause 9.1, these Terms do not grant the Customer any right, title or interest in Tailored Intelligence’s intellectual property.
11.3The Customer must keep Tailored Intelligence’s non-public technical, commercial, operational and product information confidential and may use it only to evaluate or use the Service.
11.4The Customer must not disclose Tailored Intelligence’s confidential information to any person except its personnel and professional advisers who have a need to know it and are bound by confidentiality obligations no less protective than those in these Terms.
11.5Clause 11.3 does not apply to information that the Customer can show was lawfully public other than through breach of these Terms, already lawfully known to the Customer without a confidentiality obligation, independently developed without use of Tailored Intelligence’s confidential information, or lawfully received from a third party without breach of a confidentiality obligation.
11.6If disclosure is required by law, the Customer may disclose only the legally required portion and must, where legally permitted, give Tailored Intelligence prompt written notice to allow it to seek protective measures.

12. Feedback

12.1If the Customer or an Authorised User provides feedback, suggestions, ideas, corrections, enhancement requests or insights concerning the Service (“Feedback”), Tailored Intelligence may use, reproduce, adapt, disclose, commercialise and otherwise exploit that Feedback to improve its products and services without compensation or obligation to the Customer.
12.2Tailored Intelligence will not use Customer Content as Feedback or for improvement purposes unless the Customer has provided the separate express written opt-in contemplated in clause 10.7.

13. Data privacy, security and service providers

13.1Each party must comply with applicable data-protection law, including the Protection of Personal Information Act, where applicable.
13.2The Customer must not upload personal information, special personal information, confidential information or other sensitive data unless it is necessary for the Customer’s lawful use of the Service and the Customer has the necessary authority, permissions, notices, consents and lawful grounds.
13.3The Customer remains responsible for its decisions about which Customer Content to upload and for ensuring that its use of the Service is appropriate to the sensitivity of that content.
13.4Tailored Intelligence will implement and maintain reasonable technical and organisational measures appropriate to the nature of the Service and the information processed, but does not warrant that the Service or any transmission will be completely secure or immune from all threats, vulnerabilities, attacks, failures or unauthorised access.
13.5As currently configured, model processing takes place through Azure OpenAI in South Africa North. Storage is disabled on each applicable model call. Tailored Intelligence has entered into Azure’s applicable abuse-monitoring arrangement.
13.6Tailored Intelligence may use service providers, including Azure OpenAI, Paystack, Payfast, Laws.Africa, Azure Speech and Meta/WhatsApp, where applicable. Each provider receives only the information reasonably necessary for its relevant function.
13.7The Customer acknowledges that third-party services, integrations, networks and providers are not controlled by Tailored Intelligence. Tailored Intelligence is not responsible for their availability, acts, omissions, changes, outages, errors, policies or security, except to the extent liability cannot lawfully be excluded or limited.
13.8Tailored Intelligence may update its service providers, processing arrangements and technical architecture where reasonably necessary for operational, security, legal, service-quality or commercial reasons, provided that it will not knowingly use Customer Content for training or cross-firm processing contrary to clauses 10.5 to 10.7.
13.9The Customer must promptly notify Tailored Intelligence at info@tailoredai.co.za if it becomes aware of a suspected unauthorised disclosure, security incident or loss involving Customer Content processed through the Service.

14. Retention, deletion, backups and exports

14.1A Customer or authorised administrator may delete Customer Content through the Service where the relevant deletion functionality is available. Deletion from the live Service is intended to occur immediately.
14.2Tailored Intelligence maintains nightly backups with seven daily backup copies. Deleted Customer Content may remain in those backups until the applicable backup cycle overwrites it.
14.3On cancellation or termination, the Customer will have 30 days of read-only access to download its Customer Content and Outputs, subject to payment of all due amounts and these Terms.
14.4The Service currently provides per-document and per-reply downloads. The Service does not provide a bulk export facility.
14.5The Customer is solely responsible for maintaining independent copies and backups of all Customer Content and Outputs it requires. The Customer must use the available download facilities during the applicable access period and must not rely on Tailored Intelligence to preserve or export Customer Content on its behalf.
14.6The post-termination read-only period is an access facility and not a guarantee that the Customer will successfully export every item of Customer Content or every Output.
14.7Tailored Intelligence will delete Customer Content from live systems within 60 days after termination, subject to:
14.7.1the Customer’s 30-day read-only export period;
14.7.2the seven-day backup cycle;
14.7.3applicable law and binding legal requirements;
14.7.4the need to preserve relevant material for a dispute, investigation, security incident or enforcement of these Terms; and
14.7.5technical limitations reasonably outside Tailored Intelligence’s control.
14.8Tailored Intelligence may retain audit, security, billing and usage records for five years after termination, or longer where required or permitted by applicable law or reasonably necessary to establish, exercise or defend legal rights.
14.9Tailored Intelligence may retain anonymised or aggregated information that does not identify the Customer, Authorised Users or individuals, provided that it does not use Customer Content for training or improvement except under a separate express written opt-in under clause 10.7.

15. Outputs, correctness and customer responsibility

15.1Outputs are generated or assisted by automated systems and may be incomplete, inaccurate, out of date, misleading, biased, unsuitable, unavailable or affected by errors, omissions, source-content limitations, formatting problems or model behaviour.
15.2Tailored Intelligence does not warrant or guarantee the accuracy, completeness, reliability, correctness, currency, quality, legality, originality, non-infringement, availability or fitness for purpose of any Output, Customer Content processing result, extraction, transcription, search result, source, recommendation or other material made available through the Service.
15.3The Service may fail to identify all relevant content, authorities, issues, facts, documents, inconsistencies, risks or errors. It may also generate material that appears plausible but is incorrect.
15.4The Customer and each Authorised User must independently verify all Outputs against the underlying source material and use appropriate human, professional and subject-matter review before relying on, publishing, filing, communicating, implementing or acting on any Output.
15.5The Customer is solely responsible for all decisions, advice, communications, publications, filings, transactions, actions and omissions made in reliance on, informed by, or connected with the Service or any Output.
15.6The Customer must obtain independent professional advice where appropriate. No use of the Service creates a professional-client, adviser-client, fiduciary, agency, employment, partnership or similar relationship between Tailored Intelligence and the Customer or any Authorised User.

17.2Subject to clause 17.1, Tailored Intelligence’s total aggregate liability arising from or relating to these Terms, the Service, any Subscription, the Trial Period, Customer Content, Outputs or any act or omission of Tailored Intelligence shall not exceed R100 (one hundred South African Rand).

18.2Tailored Intelligence must give the Customer reasonably prompt notice of an indemnified claim, provided that delayed notice does not release the Customer except to the extent it is materially prejudiced by the delay.
18.3The Customer may control the defence of an indemnified claim, subject to Tailored Intelligence’s right to participate with its own legal advisers and provided that the Customer may not settle a claim in a manner that admits fault by, imposes liability on, or restricts Tailored Intelligence without Tailored Intelligence’s prior written consent.

21.2The Customer must take reasonable steps to mitigate any loss, including stopping harmful use, changing compromised credentials, preserving relevant information, maintaining backups and promptly reporting suspected security incidents.
21.3A failure to notify or mitigate does not eliminate a claim to the extent this would be unlawful, but Tailored Intelligence is not liable for loss that the Customer could reasonably have avoided or reduced.
21.4Legal notices to Tailored Intelligence must be sent toinfo@tailoredai.co.za. Tailored Intelligence may send notices to the email address linked to the Customer’s account or otherwise notified by the Customer.
